Explanation of Responses:

This amendment to the Reporting Person's Form 5 filed on February 2, 2018 is being filed to correct the number of shares of Common Stock directly owned by the Reporting Person as the gift of 8,000 shares of Common Stock reported in the original filing had been inadvertently deducted twice in the calculation of such number.
